This Agreement is entered into between Salam Souk UK Sdn Bhd being the representative of Halal Street UK Ltd (the Company) and the Vendor (as stated in the signature line below) and binds parties by virtue of:
A click through Agreement which does not require either party’s signature, or
wherein signed by both
The Vendor is desirous to receive the services of the Company and the Company is agreeable to provide the Services for consideration.
By virtue of the Vendor clicking the accept and acknowledge box or by signature, the Vendor and the Company will be bound by the terms and conditions stated below. In consideration of the matters described below and of the mutual benefits and obligations set forth in this agreement, both Vendor and the Company agree as follows
Services Provided
The Company hereby agrees to provide the following services to the Vendor (Services) as set out in the relevant Apendices (attached). The Vendor agrees to pay to the Company for the Services provided upon terms or otherwise.
Payment: Unless otherwise agreed between parties, the Vendor will need to make payment to the company in full upon the terms of the notice prior to any service being provided or 12 months from the date of agreement whichever is the later.
Term of Agreement The Agreement will remain in full force and effect until the completion of the Services.
Acceptable Use The Vendor will only feature items, services or products that are approved by the Company. The Company reserves the right to suspend, amend, modify, accept or reject the Vendor’s products or services. Submission does not create an automatic right to listing, if the product is found to be unsuitable or unacceptable.
Confidentiality Confidential information refers to any data or information relating to the Company or Vendor, whether business or personal, which would reasonably could be considered the private or proprietary to either party. The parties agree not to disclose, divulge, reveal, report or use for any purpose any confidential information which has been obtained if obtained through legitimate third party means, or received prior to the execution of this agreement or except as authorised or as required by law.
Term of confidentiality will survive the Agreement by two (2) years. All written and oral information and material disclosed or provided by either party to the other under this agreement is considered confidential information. For situations of doubt, the parties will use the reasonable man test.
Intellectual Property All intellectual property and related material, including any trade secrets, moral rights, goodwill and relevant registrations or applications for registrations and any rights in any patents, copyright, trademark, industrial design or tradename that has been developed or produced by either party will remain the property of that party throughout the term of this Agreement
Warranty The Vendor warrants that it has the necessary licence, intellectual property authorisation or owns the rights to the brand name, product or service that it plans to use in this Agreement. Further, the Vendor warrants that the products sold by them meets the stated ingredients list and is of merchantable quality.
Limitation of Liability The parties agree that it will not be responsible to the other for any damages, fines or losses except for those that cannot be excluded by operation of law.
Data Protection The parties hereby agree to be governed by the data protection regulation in the jurisdiction that the Services are provided. The parties agree to provide each other reasonable assistance in fulfilling the requirements of being compliant in the relevant jurisdictions.
Assignment The Company hereby reserves the right to assign or transfer rights and obligations, in full or partially to a third party without the requirement of prior consent from the Vendor.
Governing Law The parties hereby agree to be bound by the laws of Malaysia and subject to the exclusive jurisdiction of the High Court of Malaysia.
APPENDIX B (MICRO EXPORT PROGRAM)
Product Listing The Vendor may list up to 5 stock keeping units (SKUs) on HalalStreet.co.uk.
Export Advice & Logistics Training Salam Souk may provide export guidance and training on logistics for efficient product delivery to the UK, at a reasonable price to be agreed between parties.
Translation & Presentation Guidance Salam Souk may assist in translating product information from Bahasa Melayu to English, if applicable, and provide presentation advice to ensure that products are suitable for the UK market, at a reasonable price to be agreed between parties.
Social Media Coverage Salam Souk may promote selected products through social media channels, including relevant Facebook groups, at a reasonable price to be agreed between parties.
Shipping to the UK Warehouse Salam Souk may assist the Vendor in shipping products to Salam Souk’s UK-based warehouse, at a reasonable price to be agreed between parties.
Warehousing in the UK The Vendor’s products may be stored in Salam Souk UK’s certified, town council-licensed warehouse in the UK, at a reasonable price to be agreed between parties.
UK Regulatory Research & Labelling Salam Souk will conduct basic research to ensure the Vendor’s products comply with UK regulations and assist with the required product labelling.
